These terms (“Terms of Use for Ask Goodnotes”) are made by and between Goodnotes Limited, a private limited company with its registered office at 1 Bartholomew Lane, London, United Kingdom, EC2N 2AX and with company number 12889528 (“we”, “our”, “us”, or “Goodnotes”), and you, the user (“you”, “your” or “User”).

The Terms of Use for Ask Goodnotes are meant to cover our activities in relation to the Goodnotes chatbot feature on top of existing notebooks and documents within the User's library (“Ask Goodnotes”). Ask Goodnotes is limited to questions and answers in relation to the document's content and summarization of an existing document or part of a document in the library of the User, in each case limited to the scope of the respective document.

BY SELECTING “I AGREE" OR BY USING ASK GOODNOTES, YOU AGREE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF USE FOR ASK GOODNOTES. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE FOR ASK GOODNOTES, YOU MAY NOT USE THE FEATURE.

  1. 1. Applicability of General Terms and Conditions for the use of Goodnotes, Data Protection and Changes to Terms of Use

    1. Applicable General Terms and Conditions: The Terms of Use for Ask Goodnotes supplement the provisions contained in our General Terms and Conditions ("General Terms and Conditions"). These General Terms and Conditions also apply to the use of Ask Goodnotes in full. Ask Goodnotes is to be considered as "Goodnotes AI".
    2. Use of personal data: Our use of your personal data in connection with Ask Goodnotes is subject to our Privacy Policy, which can be accessed here. Please also see Section 6 of the General Terms and Conditions.
    3. New Features and Changes: Any new features or tools added to the current Ask Goodnotes will equally be subject to this Terms of Use for Ask Goodnotes. You can review the most current version of the Terms of Use for Ask Goodnotes by following this link. Goodnotes is entitled to amend, cancel or replace these Terms for Ask Goodnotes with other Terms at any time and to make new services available free of charge or for a fee. Goodnotes will inform you of such changes in advance. The changes to the Terms of Use only apply to the future and have no consequences on previous agreements based on the previous Terms. Notwithstanding this, further use of Ask Goodnotes is subject to the user's consent to the amended Terms.

  2. 2. Access to Ask Goodnotes and Availability

    1. Free of charge: Access to Ask Goodnotes is free of any extra charge.
    2. Your responsibility: It is your responsibility to make any and all arrangements necessary in order to access Ask Goodnotes.
    3. Changes to Ask Goodnotes: Access to Ask Goodnotes is provided to you “as is” and on an “as available” basis. We may alter, suspend or discontinue Ask Goodnotes (or any part of it) at any time and without prior notice. With respect to any significant changes, we refer, in particular, to Section 13 General Terms and Conditions.
    4. Availability: While we try to ensure that Ask Goodnotes is available for your use, we do not guarantee that Ask Goodnotes is available at all times nor do we guarantee that your use of Ask Goodnotes will be uninterrupted. We will not be liable to you in any way if Ask Goodnotes (or any part of it) is unavailable at any time and for any period.

  3. 3. Rights to Information, Reliability of Output, Liability

    1. Input and Output: You may be allowed to submit text, documents, or other materials to Ask Goodnotes for processing (“Input”). Ask Goodnotes may then generate a response based on your Input (“Output”) – (Output together with Input: "Information").
    2. Rights to Input: You are responsible for all your Input you submit to or use in Ask Goodnotes. We refer to Section 3.7 General Terms and Conditions.
    3. Reliability of Output: Ask Goodnotes is a virtual assistant based on third-party software that is intended to support you in using the Goodnotes services but we assume no reliability on the Output. No obligations arise from Output of Ask Goodnotes. Furthermore, no individual agreements are made through communication with Ask Goodnotes. Any reliance you place on the Output provided by Ask Goodnotes is at your own risk. In this respect, you have a duty of care to independently review all the Information you submit and/or submit and to check its compliance with the General Terms and Conditions as well as these Terms and Conditions.

      In particular you acknowledge the following:
      1. Output may not always be accurate and may contain material inaccuracies even if they appear accurate because of their level of detail or specificity.
      2. You should not rely on any Output without independently confirming their accuracy.
      3. Output may not reflect correct, current, or complete information.
      4. Output may contain content that is inconsistent with Goodnotes' views.
    4. Liability: With regard to our liability for any damages arising from communication with Ask Goodnotes we refer to Section 11.1 of the General Terms and Conditions also applicable here.

  4. 4. Third Party Services

    1. Third-Party Services and Third-Party Output: Ask Goodnotes may include third-party software, products or services ("Third-Party Services"), in particular Goodnotes technically does rely on third party tools for the "Ask Goodnotes" feature and may include Output based on these services ("Third-Party Output").
    2. Disclaimer: Goodnotes makes no representation or warranties concerning any Third-Party Services or Third-Party Output. In this case we do not control or accept responsibility for any loss or damage that may arise from your use of any such third-party content, service or integration.

  5. 5. Restrictions on how you can use Ask Goodnotes and Indemnification

    1. Restriction of Use: In general, you may not use our services for illegal, harmful or abusive activities. In particular, please go to our Terms and Conditions Section 3.5 to review the restrictions that explain when you use Ask Goodnotes, what you must not and must not attempt to do. In particular, the provisions for "Goodnotes AI" also apply to Ask Goodnotes.
    2. Indemnification: You agree to defend, indemnify and hold harmless Goodnotes and its affiliates and their respective directors, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of your non-compliant use of Ask Goodnotes. Goodnotes reserves the right to assume the exclusive defence of any claim for which we are entitled to indemnification under this section. In such event, you shall assist Goodnotes to the extent reasonably requested by Goodnotes.

  6. 6. Use of Your Information

    1. Model training: Goodnotes and/or the third parties will not use Information from users to train the model.
    2. Feedback: Information of the user is exceptionally used when the user actively decides to provide feedback (in particular as an error message such as "hallucination" or "harmful text generated").
